Terms of Service

1. Agreement to these terms

These Terms of Service govern your use of JoeyBorden.com (the “Site”) and any video production, editing, or consulting services (the “Services”) provided by Joey Borden (“I”, “me”, or “my”). By using the Site or engaging me for Services, you agree to these terms. If you do not agree, please do not use the Site.

2. The Services

I provide video production services including but not limited to sales videos, Simple VSLs, Hybrid VSLs, and related editing and consulting work. The specific scope, deliverables, timeline, and price for any engagement are agreed in writing before work begins. Pricing shown on the Site is indicative and does not constitute a binding offer; every project is quoted individually.

3. Project process and client responsibilities

Unless otherwise agreed in writing, you are responsible for supplying the script, voiceover, brand assets, and any other materials needed to complete your project. Delays in providing these materials will extend the delivery timeline accordingly.

By supplying materials you confirm that you own them or have the necessary rights to use them, and that they do not infringe anyone else's intellectual property, privacy, or other rights.

Revisions

Each project includes a reasonable number of revision rounds as specified in the project agreement. Revisions that change the agreed scope may be quoted separately.

4. Payment

Payment terms are set out in the quote or invoice for your project. Unless agreed otherwise, a deposit is due before work begins and the balance is due on delivery. Final files are released once payment has cleared in full. Invoices unpaid past their due date may pause work on the project.

5. Cancellations and refunds

If you cancel a project after work has begun, you remain responsible for payment covering the work completed to that point. Deposits cover scheduling and pre-production and are generally non-refundable. If I am unable to complete a project, any amount paid for work not delivered will be refunded.

6. Intellectual property

On final payment, you receive ownership of the finished video deliverable produced for you, together with the rights needed to use it for your business.

The following remain mine or my licensors': project files and working assets (editing project files, layered graphics, and similar), and any stock footage, photography, music, fonts, or templates, which remain subject to their original licences and are licensed to you only as embedded in the finished deliverable.

Unless you tell me otherwise in writing, I may display finished work in my portfolio and marketing materials.

7. Site content

All content on this Site — text, graphics, logos, video, and layout — is my property or used with permission, and is protected by applicable intellectual property laws. You may not reproduce or redistribute it without written permission.

8. Testimonials and results

Testimonials, reviews, and examples shown on this Site reflect the experiences of specific clients. They are not a guarantee, promise, or representation that you will achieve the same or similar results. Results depend on many factors outside my control, including your offer, traffic, audience, and market.

9. Disclaimer of warranties

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. I do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, I will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of the Site or the Services. My total liability relating to any project will not exceed the amount you paid me for that project.

11. Third-party links

The Site may contain links to third-party websites or services that I do not control. I am not responsible for their content, policies, or practices.

12. Changes to these terms

I may update these terms from time to time. The revised version takes effect when posted on this page, and the effective date above will be updated. Continuing to use the Site after changes are posted means you accept the revised terms.

13. Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute will be brought in the state or federal courts located in Texas.
